Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization's assets, operations and image. This role supports a highly complex, fast-paced, and multi-faceted business unit within the Medical Segment.
Paralegal prepares agreements and resolves legal questions under the direction of the organization's attorneys. This family provides support and prepares agreements, instruments, and documents, and pleadings relating to commercial matters. This job family also conducts training on corporate policies and procedures.
Responsibilities
Analyzes contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, policies and company procedures
Drafts contracts based on term sheets, financial models and approvals
Communicates contract policies and practices to internal business teams. Ensures contract review, approval and execution are in accordance with standard contract requirements and contract guidelines
Prepares and administers routine correspondence and contract documentation to ensure timely and coordinated submittal and execution
May conduct research to support contract audit
Coordinates approvals and responses during contract negotiation
Performs contract closeout activities including informing the appropriate stakeholders that the contract has been signed
Reviews contracts upon renewal to determine if changes to financial terms, IT and operational requirements are needed
Consults with Sales, Marketing, Operations and other relevant stakeholders to determine who will be responsible to communicate the changes internally and externally
Drafts and negotiates a variety of healthcare documents and commercial agreements (Confidentiality/Non-Disclosure Agreements, Product Purchase Agreements, Distribution Services Agreements, other corporate documents, and related agreements)
Reviews internal and external marketing materials
Assists with ad hoc projects as needed, including document review and business process improvement
Qualifications
4-6 years of relevant experience in contract administration; healthcare strongly preferred
BA, BS or equivalent experience in related field preferred. Advance Degree may be preferred
Must be a quick learner and possess excellent written, oral, and presentation skills.
Intermediate to Advanced Microsoft Office skills, particularly in MS Word and Excel
