The Human Resources M&A Sr. Advisor will partner with Corporate Strategy & Business Development Lead to evaluate corporate transactions, specifically merger, acquisition, divestiture, and joint venture arrangements. In partnership with the business unit HR business partner, the HR M&A Sr. Advisor will serve as the point person for the HR function and be responsible for all aspects of the people strategy for the transaction from pre-Letter of Intent, through due diligence and integration. The HR M&A Sr. Advisor will serve as the as the subject matter expert on all matters pertaining to people strategy in transactions including but not limited to financial dis-synergy estimates, people and systems strategy, project management, compensation, benefits, and culture. Additionally, s/he will lead the integration efforts and implementation of key total rewards programs/projects as the need arises. This senior level individual contributor will work in a team environment as a key member of a broader M&A cross-functional team, which includes HR, the business unit, corporate strategy, finance, accounting, legal, risk management, compliance, and IT teams, as well as with external partners.
Key Responsibilities
In partnership with the HR business partner, advise business leadership on people strategy as it relates to the impact of mergers, acquisitions, divestitures, and joint ventures on organizational design.
Lead and develop strategy people strategy for transactions, including supporting Pre-LOI risk assessment, detailed HR due diligence, HR employment terms negotiation, and integration planning and execution.
Lead cross-functional team of due diligence subject matter experts for mergers, acquisitions, divestitures, and joint ventures.
Conduct preliminary side-by-side Total Rewards and HR Policy analysis to identify potential risks and advise on mitigation approach during early stages of the transaction.
In partnership with COE's conduct detailed evaluation compensation, health and welfare programs, retirement programs and HR policies (e.g., paid time off, vacation), to assess potential liabilities associated with programs.
Quantify areas of HR risks and opportunities - e.g., labor expenses, severance, benefits, employee relation and culture.
Develop HR financial model for input into the business case for one-time and ongoing synergies and dis-synergies.
In partnership with HRBP, provide input and guidance into employee communications from project initiation to transaction close as it relates to HR programs and policies.
Continuous improvement of centralized HR M&A resources.
Develop and present executive level presentations in support of deal approvals.
Serve as a subject matter expert on merger and acquisition best practices.
Support or lead special projects as required.
Minimum Requirements
7+ years of relevant professional experience supporting or leading M&A transactions
Critical Skills
5+ years of experience working on M&A transactions end-to-end, preferably with an HR focus
2+ years of experience with financial analysis of less complex transactions:
Budget development and variance analysis
Working knowledge of compensation programs, including short-term and long-term incentives
Working knowledge of healthcare benefits and retirement programs
Experience leading integrations, especially in large, complex, matrixed organizations
Strong organizational skills and project management experience with ability to manage several time-sensitive projects at one time with minimal direction
Familiarity with HR employment terms related to M&A legal documents (e.g., purchase agreements, disclosure schedules, employment/retention agreements)
Proficiency in Microsoft Office suite (Excel, PowerPoint, Word, etc.)
Ability to interpret internal or external issues and recommend solutions based on "best practices"
Ability to quickly assess situation and adapt as necessary
Demonstrated analytical and problem-solving ability, willingness to probe into various business scenarios
Team-oriented with ability to build relationships and foster trust at all levels of the organization
Superior attention to detail
Strong verbal and written communication skills with ability to tailor communication style to work with stakeholders at all levels of the organization

Our Base Pay Range for this position
$119,700 - $199,500
