The Assistant General Counsel - Commercial Attorney is integral to the continued development and growth of the Master Builders Solutions business. The Assistant General Counsel - Commercial Attorney for Master Builders Solutions will be responsible for contract negotiation and preparation, advising clients on various commercial law issues, antitrust and other compliance counselling, and real estate and corporate transactions. This position will also assist in due diligence and support of M&A transactions and should possess working knowledge of business litigation, IP law, and government affairs. The Assistant General Counsel - Commercial Attorney will work closely with other members of the Legal group and other functions, e.g., Tax, Insurance and HR, on a regional and global level, and will report to the General Counsel Americas for Master Builders Solutions.
Serve as commercial counsel supporting the Master Builders Solutions Legal Team.
Advise clients on legal aspects of day to day commercial transactions, including compliance and antitrust, distribution, toll manufacturing, sales agency, confidentiality, consulting, supply and purchase of materials, marketing and communications, and licensing of intellectual property.
Provide legal support for negotiation and drafting of contracts.
Develop and present training materials to meet evolving business needs.
Identification of issues requiring support of specialized functions (i.e., intellectual property, litigation, regulatory) and coordination of delivery of that support to client.
Counsel clients on the implications of IP law across different countries and identify digital-related inventions and patentability of the same.
Additional tasks as directed by the General Counsel.
Position has regular interaction with General Counsel Americas and business leaders; however, expected to make judgments/decisions on an independent basis
Primary responsibility for day to day support of several functions and business lines; Position regularly provides counsel to senior business and functions leaders.
Qualifications - BASF recognizes institutions of Higher Education which are accredited by the Council for Higher Education Accreditation or equivalent
Formula for Success
Juris Doctor degree required
6-10 years of demonstrated expertise in a large law firm or corporate law department
Broad legal knowledge with high level of proficiency in the application of US and global legal principles and practices
Experience with US antitrust and ex-US competition laws
Proven commercial negotiation and drafting experience on US and global levels
Superior interpersonal and team-working skills, ability to advise and educate corporate functions and businesses; ability to adeptly navigate within a matrix organization
Strong organizational skills and judgment
Strategic perspective with an ability to see the overall picture
Ability to manage and prioritize multiple on-going legal project workstreams.
Confidence to assess risk, make legal decisions, and provide recommendations to support business goals.
Proactively engage with business and legal team members to create work product in a timely manner.
Bringing an inquisitive mind in analyzing a set of circumstances to provide counsel and recommendations.
Promoting inclusion while working in multi-disciplinary and diverse global teams.
