American International Group, Inc. (NYSE: AIG) is seeking an Assistant General Counsel to join its legal department in New York. This position is based in New York City.
AIG’s Global Legal, Compliance, Regulatory and Government Affairs (GLCR) department is comprised of attorneys and other professionals providing high quality advisory and transactional support with integrity and objectivity across all parts of the organization. The team ensures an operating environment that minimizes legal, regulatory and reputational risks and complies with all laws and regulations and AIG policies & procedures.

The Counsel’s role will be to advise and assist with respect to complex Mergers & Acquisitions, and with respect to corporate governance matters for a Fortune 75 public company. In this position, the counsel will provide legal representation and advice to AIG’s Corporate Development group and other internal business sponsors in connection with a variety of group-wide transactions including M&A, strategic equity investments, divestitures and restructurings - primarily in the insurance, asset management, financial services and FinTech industries.
Specific responsibilities include:
Provide business-focused legal advice with respect to transactional, corporate governance, regulatory and securities law issues in connection with M&A matters
Drafting confidentiality agreements, purchase and sale agreements, and other related documentation in connection with strategic transactions
Coordinate internal approvals, engagement of outside counsel and investment banks
Draft agendas and minutes for parent board level and management committees
Advise on legal issues related to corporate law and corporate governance
Manage outside legal expense
Perform other related duties and ad hoc projects as required
4+ years of corporate law experience with a major law firm or relevant in-house experience, with a demonstrated focus on M&A and corporate matters
Significant experience to include due diligence and drafting and negotiating purchase and sale agreements, letters of intent, confidentiality agreements and other related documentation for M&A and other transactional matters
Solid corporate Governance experience a plus - inclusive of entity management, corporate policy and corporate secretarial work
Insurance industry specific experience a plus
Top academic credentials and excellent written and oral communications skills
