The position is in Middle MarketBanking and Specialized Industries' organization with a particular focus on Technology &Disruptive Commerce industry clients withrevenues between $20mm and $500mm. The Technology & Disruptive Commerceunderwriting team is responsible for the credit risk management of clients inthe innovation economy with a specific focus on the software, hardware/systems,internet, IT services, emerging growth and digital media sectors. Clients ineach of these sectors are active users of traditional commercial bankingservices and investment banking products and covered by dedicated bankersdispersed throughout the US. These innovation economy industry verticals arehigh profile expansion markets that offer underwriters an opportunity to workon a high volume of transactions, in a fast paced and rapidly growing segmentof the Commercial Bank.
The Senior Associate is theprimary credit risk manager for a portfolio of Middle Market Banking Technologyindustry clients and transactions. In this capacity, the Senior Associate worksin partnership with a team of Technology bankers and product partners to riskgrade borrowers, analyze and approve credit requests, structure creditfacilities, and negotiate credit agreements and other loan documentation. TheSenior Associate is also responsible for on-going monitoring and riskmanagement of an assigned portfolio of credit clients. To be successful, thisindividual needs to develop a broad and deep understanding of the business,financial, competitive, and industry risks faced by clients in the assignedportfolio. The Senior Associate will report to the Technology Group Credit RiskDirector and be supported in his/her day to day work by a dedicated team ofAnalysts and fellow Underwriters that report to the same Credit Risk Director.The Senior Associate will be expected to play an important role in mentoringand developing junior talent to enhance the performance of the broader team. Theposition is "client facing" and domestic travel will be required from time totime.
1. Risk Assessment
Identify the keyrisk factors associated with clients, transactions, and industry sub-sectorsacross an assigned portfolio
Develop andarticulate a dynamic, forward-looking risk assessment of client companies,transactions, competitive threats,
and industry andother factors
Lead and/orparticipate in client due diligence meetings as necessary
Attend client, bank,and other meetings to develop a better understanding of client companies,management teams, and
Use financial modelsto incorporate the impact of forward-looking risk assessment on key valuedrivers
Develop andrecommend appropriate credit structures relative to risk assessment
2. Credit Approval Process
Apply corporatefinance and accounting expertise to develop appropriate financing structures
Prepare creditapproval materials, ensure all credit risk policies are followed, and presentand recommend credits for
approval at theappropriate level
Analyze andnegotiate covenants and other terms and conditions as part of a deal team
Review and negotiatelegal documentation to ensure terms are appropriate and consistent with creditapproval
3. Portfolio Management
Provide awell-researched and thoughtful risk assessment of each assigned client on anongoing basis
Ensure risk ratingsare accurate and reflect a current forward-looking view of the client
Provide earlyidentification and proactive management of deteriorating credits and otherproblem situations
Analyze, prepare,and present for approval all required waivers, amendments, and extensions
Prepare and presentsemi-annual portfolio review material to senior management
Work with bankexaminers and internal credit reviewers to validate credit quality andintegrity of the credit process
Work closely withPMAs/Credit Assistants to ensure accuracy of credit system data
Assist Credit RiskDirector in training and developing junior underwriters
- Superior credit, lending,negotiation, loan documentation, and financial modeling skills
- Strong interpersonal andcommunication skills
- Independently productive; ableto operate at a highly effective level with minimal day-to-day managerialdirection
- Completion of a majorcommercial/investment bank credit training program or equivalent experience,and a thorough
understanding of bank creditpolicies and procedures
- Minimum of Senior Associate:3-4 years of commercial/investment banking lending experience including extensivecredit, structuring,
and marketing. Experienceworking with innovation economy industry clients is preferred
- BA/BS degree is required, MBAis a plus
