The Legal Department in London (SEGL/JUR London) primarily provides legal advice and support to all London based investment banking business lines and those businesses forming part of the SG Group in the UK. It is divided into the following teams/areas of expertise: (i) Corporate Finance; (ii) Global Finance (sub- divided into Structured Finance, Financial Engineering, Trade Finance and Commodities); (iii) Markets (sub-divided into Structured Products, Debt Capital Markets and Islamic Finance); (iv) Master Agreements; (v) Prime & Securities Services; (vi) Financial Services Regulation; (vii) Employment; (viii) Shared Internal Legal Services (incorporating Commercial and IT Contracts, Global Transaction Payment Services and Company Secretarial); and (ix) Data Protection.
The Legal Department is responsible for identifying and analysing legal and commercial issues, including communicating advice clearly and effectively, as part of an overall responsibility for managing and overseeing legal risk for the businesses supported. The Legal Department is also responsible for managing conduct risk within the Legal Department, promoting a positive culture of good conduct and compliance and contributing to the management of conduct risk throughout the businesses supported.
The Financial Services Regulation team in SEGL/JUR, London provides advice and assistance in relation to financial regulation applicable to SG both at a business line level and an institutional level in respect of business carried on in or from the United Kingdom. The team's responsibility extends to all SG Group entities operating in the United Kingdom, including coordination, where required, with those entities specialising in prime broking (SG International Limited), private banking (Kleinwort Hambros), equipment finance (SGEF) and car leasing (ALD). Responsibilities extend to both ad hoc advice on existing regulation ("run the bank" or RTB) and strategic advice on the adaptation of the bank's activities to changing regulation ("change the bank" or CTB). The team advises on regulatory aspects of transactions with a UK nexus, including the introduction of new products and services; the marketing and promotion of investment and banking products; as well as engagement and communication with SG's home and host state regulators, in coordination with Compliance, the Group Financial Services Regulatory team (SEGL/JUR/RBF) and the Digital and Regulatory Transformation (SEGL/JUR/GBS/TFM) legal team in Paris. In respect of cross-border activities with a UK element, the team plays a liaison role in dealing with colleagues from SG legal and compliance departments across the globe to ensure compliance with financial regulation. The team may from time to time also manage, in conjunction with the Group Litigation Department (SEGL/JUR/LDC), the progress of contentious regulatory matters affecting the UK.
Summary of the key purposes of the role
Advising on transversal and regulatory issues impacting the London platform, working with SEGL/JUR London's Head of Financial Services Regulation as well as the various product legal teams and the General Counsel, London including providing assistance and advice on transversal regulatory projects for Societe Generale (SG) as a Group.
Analysing and advising management, business units and the Compliance department on technical UK regulatory issues arising in relation to the activities carried on and from the UK by the main business divisions of SG's operations.
as a member of industry working groups active on legal and regulatory reforms; and
in discussions with SG's competent regulatory authorities, in particular, the Prudential Regulation Authority (the "PRA") and the Financial Conduct Authority (the "FCA"), working with Compliance and Group Legal teams that hold the primary relationships with those authorities.
Assisting SG in the development of its strategic response to legal and regulatory changes, liaising across the broader Legal and Compliance departments to ensure compliance with regulation.
Summary of responsibilities
Developing and maintaining a risk management culture through highlighting to relevant internal stakeholders and own management, of legal, conduct and other risks (as appropriate) impacting the London platform and identifying means to mitigate such risks.
Contributing to the Legal & Regulatory Watch for the UK territory, supporting the Head of Financial Services Regulation as Legal Watch Country Correspondent for the UK.
Keeping own management and SEGL/JUR senior management systematically informed of regulatory and transversal matters including through use of all reporting tools.
Assisting front office and other functions in implementing regulatory changes.
Providing specialist advice to product lawyers in SEGL/JUR on the impacts of the various regulatory reforms and their practical implications for products and services provided by the business lines they support.
Contributing to New Product Committees where a new business proposal has a significant UK or European regulatory component.
Drafting and maintaining regulatory documentation used by SG in the provision of its products and services, including in particular the regulatory components of marketing material, disclaimers and mandatory disclosures and providing regulatory input to internal policies and training, as required.
Advising, as required, on pre-litigation matters with a regulatory component.
Level of Autonomy and Authority
The successful candidate will be required to provide legal advice to relevant business lines in relation to the areas of responsibility set out above, subject to escalation to Legal senior management as appropriate; and to work autonomously within a friendly and supportive environment

Experience of advising on UK and European financial regulation, with a focus on conduct of business regulation and market infrastructure rules impacting corporate and investment banks, such as MiFID and EMIR.
Strong legal research skills, focusing in particular on navigating regulatory legislation including the FCA Handbook and EU Regulatory Technical Standards and Implementing Technical Standards.
Works with extended autonomy and in coordination with other lawyers/teams; with strong project management skills, including the ability to work with internal stakeholders on ad hoc regulatory, transversal and UK platform projects.
Identifies, analyses and solves complex legal issues within area of coverage, proactively detecting legal risk and taking appropriate initiatives to ensure it is addressed, demonstrating appropriate level of attention to detail
