RESPONSIBILITIES AND QUALIFICATIONS Duties: Vice President with Goldman Sachs & Co. LLC in New York, NY. Provide advisory services to clients in the Real Estate sector. Advise corporations on mergers, acquisitions, anti-raid assignments, sell-side and buy-side transactions, debt and equity financings and re-structuring. Advise private equity firms on M&A and financing transactions. Transaction execution for companies in the real estate sector, which involves managing live deal execution and performing complex financial and business due diligence; plan, structure, and execute corporate finance transactions in public and private markets, including interviewing senior management, inspecting properties, reviewing strategic operating plans and analyzing historical and projected financial performance. Utilize information from Green Street Advisors and S&L Financial to conduct due diligence. Work under the general direction of senior finance staff, to collect, organize and analyze data to support the execution of various financial transactions. Direct and review merger modeling; integrated financial statement analysis, and statement modeling. Devise and execute strategies that enable companies and institutions to capitalize on value of assets incorporating corporate finance principles and accounting rules and regulations. Develop and present deal presentations, materials and pitchbooks analyzing trends within the real estate sector to C-level executives. Involved in Internal Team Management and Interactions with Cross Functional Teams at the Firm which includes interacting with various product teams to develop and execute investment banking strategies; reviewing, developing and structuring diverse financing transactions. Mentor and develop 4-5 Analysts and Associates.
Job Requirements: Bachelor's or Master's degree (U.S. or foreign equivalent) in Business Administration, Finance or a related field. The employer will accept a single or combination of degrees, diplomas or professional credentials deemed equivalent by a qualified evaluation agency. Five and a half (5.5) years of experience (with Bachelor's degree), or three and a half (3.5) years of experience (with Master's degree) in the job offered or in a related investment banking position covering Real Estate clients while at a bulge bracket firm. Must have five and a half (5.5) years of experience with Bachelor's degree, or three and a half (3.5) years of experience with Master's degree, including some experience with all of the following: covering $1bn+ Enterprise Value real estate companies, and real estate financial sponsors; developing relationships with key decision makers at investment banking clients; demonstrating involvement with day-to-day project management and executing large M&A transactions, including preparing: deal origination pitch materials; engagement letters; information memorandums; strategic and financial partner approach strategies; and Gold Card and management presentations, managing all aspects of due diligence (including managing an electronic data room, Q&A, site inspections, environmental, engineering, accounting, legal, tax), preparing valuation analyses, being involved with transaction negotiation, and preparing Board presentations; working on various M&A transactions, including buy-side, sell-side, cross-border, take private, stock-for-stock, spin-off, private market, joint venture, minority investment, control investment, related party with special committee process, and anti-raid defense; working on various corporate finance transactions, including IPOs and follow-on issuances, high yield debt financings, and investment grade debt financings; analyzing a variety of large corporate finance transactions, including debt financings (such as private placements, high yield debt, investment grade debt, and property-level debt), debt prepayment, equity offerings (such as IPOs and follow-on issuances), stock buybacks, corporate derivative transactions, $1bn+ take private transactions, a Reverse Morris Trust, and real estate sale-leaseback; presenting to client senior executives of public and private companies on various aspects of corporate finance strategy; developing and reviewing financial models and analyses, including merger models, LBO models, and discounted cash flow models, all of which incorporate specialized corporate finance and accounting skills; and preparing Fairness opinions for U.S. public and private companies. FINRA Series 79 license required. Travel required domestically and internationally for project requirements such as in-person client meetings and due diligence.
